Biographical Information: Anthony Giambrone, Jr. is a principal in the law firm of Giambrone & Saltzman, LLC and has been a practicing attorney servicing the needs of his clients for more than twenty years. Prior to successfully running his own law office, Anthony began his career as Assistant General Counsel to Prime Motor Inns, Inc., a New York Stock Exchange hotel company.

Before his association with co-principal, Richard M. Saltzman, Anthony maintained a balanced practice that enabled him to serve both the needs of the business community as well as individuals. This balanced approach provided Anthony with the opportunity to represent commercial banks along with many public and private corporations, limited liability companies and partnerships in sophisticated real estate and business matters yet, at the same time, maintain a relationship with and represent individual clients.

Anthony earned a B.S. in Business Administration (finance major) from Seton Hall University and received his Juris Doctorate from Widener University School of Law. He and his wife, Jacqueline, reside in Irvington, New York with their two children.

Private Practice

• Represented Prime Hospitality Corp., a New York Stock Exchange hotel corporation, in connection with real estate sales and acquisitions, zoning matters and litigation.

• Represented Hillsboro Southeast, Inc., a private hotel company and its affiliates in connection with real estate, zoning, financing and contract matters.

• Represented an international clothing design company in connection with real estate, zoning and litigation matters.

• Represented corporate client in connection with the acquisition of professional dental product lines from an international pharmaceutical company, which acquisition included intellectual property rights, contract rights, an out-of-state manufacturing plant and other assets. As lead counsel, Anthony’s responsibilities included coordinating the efforts of intellectual property counsel, local counsel at the site of the plant and the management team of his corporate client. Financing for this transaction was secured through Merrill Lynch.

• Represented several national hotel brands in franchise litigation matters.

• Represented various commercial lenders in connection with mortgage loans and cooperative share loans.

• Represented Stepping Ridge Condominium Association, an upscale condominium complex located in North Caldwell, New Jersey, in connection with real estate and zoning matters.


• Member of a legal team handling sophisticated multi-state/multi-property transactions (acquisitions, sales and financings), mergers and acquisitions and other legal matters that involved major financial institutions and law firms. Representative transactions included Prime Motor Inns Master Limited Partnership, acquisitions of American Motor Inns, Howard Johnson and Wellesley Hotels and financing with Salomon Brothers.

• Handled many hotel zoning matters (applications and oppositions) with a 100% success rate.

• Established internal procedures to be followed in connection with hotel acquisitions and sales.

Richard Saltzman is a principal in the law firm of Giambrone & Saltzman, LLC. Richard has had a varied experience in both private practice and corporate where he served as in-house counsel and senior executive for Fortune 500 companies.

In his law practice, Richard has gained extensive experience counseling clients in commercial transactions, corporate law, commercial and residential real estate, wills and trusts, trademark matters, personal injury and commercial litigation.

Richard’s vast expertise as an attorney in franchise law as well as his experience as a senior executive with Wyndham Worldwide and its predecessor companies gives him unique insight into the inner workings of the franchise industry. While with Wyndham, Richard was responsible for the franchise administration process for all of Wyndham’s hotel brands. Wyndham is the largest hotel franchise company in the world and owns and operates over 6,000 locations worldwide. Wyndham is the parent company of such well known brands as Ramada, Days Inn, Super 8, Howard Johnson and Travelodge. In a similar capacity, Richard also headed up Franchise Administration for the RCI Holiday Network, another Wyndham division.

In his role as corporate counsel, Richard was responsible for handling all aspects of support for the franchise sales and administration departments in contract negotiation; oversight of the franchise compliance functions of the company including license agreement default and termination matters; commercial real estate transactions and financings; negotiation of hotel management agreements and other legal issues covering all aspects of hotel operations. Richard has handled thousands of commercial transactions in the hospitality industry.

Richard graduated from New York University cum laude in 1980 with a B.A. in History and received his degree of Juris Doctor from New England School of Law in 1983. He and his wife, Kathy, reside in Randolph, New Jersey with their two children.
